Welcome to AMBA. By downloading, installing, or using the AMBA Desktop software application or accessing the ambadesk.com website, you agree to these Terms of Service.
1. Nature of the Software & License
AMBA is a local-first desktop software application designed for business analysis, financial reconciliation, media planning, and autonomous task orchestration.
- You are granted a non-exclusive, non-transferable license to install and run the application on your personal or corporate computers.
- AMBA runs as a single-process native application on your machine without requiring remote account registration on AMBA servers.
2. 100% User Ownership of Deliverables
- Your Data Stays Yours: You retain 100% full intellectual property ownership of all source files provided to your project's Sources (
sources/), all intermediate calculations inworkings/, and all finished reports, spreadsheets (.xlsx), and presentations (.pdf) produced in your workspace (for examplereports/). - AMBA claims zero ownership, royalties, or licensing rights over the deliverables you create using the platform.
3. External AI Model Providers & BYOK Responsibility
- API Keys: AMBA connects to external frontier AI models (such as Anthropic, OpenAI, or Google) using your own API keys.
- Free Trial Relay: Before you add a key, a limited number of trial runs are relayed through AMBA's cloud gateway to Google Gemini on AMBA's key. See the Privacy Policy for what is sent.
- Provider Compliance: You are solely responsible for ensuring that your usage complies with the applicable terms of service, acceptable use policies, and billing agreements of each respective AI provider.
- Cost Management: Any fees, token costs, or usage limits billed by external model providers are your direct responsibility.
4. Professional Judgment & Verification Disclaimer
- Decision-Support Tool: AMBA provides deterministic computational tools (such as SQLite cross-reconciliation) and AI-assisted drafting to eliminate manual consulting lag.
- Human Verification Required: While AMBA's deterministic tools reduce arithmetic errors, all generated financial models, tax calculations, contract analyses, debt amortization schedules, and media plans are intended for decision-support and should be verified by certified accountants, legal counsel, or financial officers before commercial execution.
- "As Is" Warranty: The software is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement.
5. Acceptable Use
You agree not to:
- Use AMBA to process material that violates applicable local or international laws.
- Reverse engineer, tamper with, or maliciously subvert the local Rust security sandbox or policy engine to bypass user-consented permissions.
- Attempt to weaponize or distribute modified installer binaries masquerading as official AMBA releases.
6. Limitation of Liability
In no event shall the authors, maintainers, or contributors of AMBA be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) arising in any way out of the use of this software.
